Listing the Shares of MNT Tech Holding For Financial Investments (HALN.CA) on the Main Market (Temporary Listing)

The Listing Committee held on 14/09/2026 has approved the following:
• Listing the shares of MNT Tech Holding For Financial Investments (temporary listing) with an issued capital of EGP 160,000,000 distributed over 1,600,000,000 shares with a par value of EGP 0.10 per share represented in 2 issuances in the Egyptian Securities List (Shares) – “Main Market, in accordance with Articles (7), (1 bis), (6), and (18) of the rules for listing and delisting securities on the Egyptian Exchange.
• The company is committed to fulfill the items (1, 2, 3) of Article (7) of the Listing Rules and complete the registration procedures with the Financial Regulatory Authority (FRA) in accordance with the rules determined by the Board of Directors of the Financial Regulatory Authority (FRA), also applying to the (EGX) to execute the offering of its shares within six months from the date of temporary listing.
• In all cases, the company's shares shall not be traded during the period from the date of the temporary Listing until the start of trading of these shares (after the offering), except with the approval of (FRA). The temporary Listing shall be deemed never to have existed, in case of the company does not implement its share offering and fulfill the conditions and requirements for final listing within six months from the date of temporary listing ,The said deadline may be extended with the approval of (FRA) in cases it deems appropriate based on the justifications and time plan that submitted by the company.
• The company must adhere, throughout the temporary Listing period to the obligations stipulated in clauses (1 to 4) of Article (48) of these rules.
• Shareholders holding ten percent (10%) or more of the Company's shares, and/or any shareholders replacing them from among the Company's other shareholders, shall, upon listing, retain at least fifty-one percent (51%) of their respective shareholdings in the Company's share capital, provided that the aggregate shares so retained shall represent no less than twenty-five percent (25%) of the Company's total shares. The shares so retained shall be subject to a lock-up until the financial statements for the year in which the requirements set forth in Item (5) and/or Item (8), as applicable, of Article (7) of these Rules are satisfied have been approved, provided that at least twenty-four (24) calendar months have elapsed and the periodic financial statements for two financial years have been issued from the date of listing on the Exchange. The same retention and lock-up requirements shall apply to the same percentage of shares subscribed for in any subsequent increase in the Company's share capital for the same period, excluding bonus shares.
• Compliance with all applicable laws and regulations, in particular:
- Decree No. (143) of 2010 concerning the regulation of the listing and trading of shares of companies operating in the field of securities, as amended by Decree No. (69) of 2013 and Decree No. (15) of 2018.
- Financial Regulatory Authority (FRA) Board of Directors Decree No. (177) of 2024 concerning the rules governing the granting and continuation of licenses for companies operating in the field of non-banking financial activities.
- Compliance with Financial Regulatory Authority (FRA) Board of Directors Decree No. (178) of 2024, as amended, concerning the rules governing the FRA's approval of the acquisition of ownership or control of, or merger with, companies operating in the field of non-banking financial activities, particularly Article (3) thereof concerning the ownership limits and percentages applicable to companies operating in the field of non-banking financial activities, other than insurance and reinsurance companies.
• The company’s shares shall be added on the EGX’s database under the sector of "Non-banking Financial Services” as of Tuesday 15/09/2026 trading session.
• Provided that the company shall complete and submit all required documents prior to the commencement of trading on its shares.
• The company shall register its Investor Relations Officer in the electronic register maintained by the Egyptian Exchange, following the successful completion of the interviews, examinations, and training courses prescribed by the Egyptian Exchange, in accordance with the provisions of Articles (40), (41), and (41 bis) of the Executive Procedures for the Listing Rules, as amended.
